Notwithstanding such omissions, delays, inaccuracies and misjudgements, you hereby indemnify, and hold harmless GeekRider and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives and attorneys and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any liability, material and monetary loss, system or technological breakdown, loss in brand equity, erosion of market share, drop in campaign performance arising out of GeekRider’s involvement in setting up, executing and consulting for your organization. Moreover, GeekRider does not guarantee continued performance of recommended solutions at the performance metrics agreed to over an indefinite period of time. Digital Marketing is a dynamic subject and is highly dependent on several factors including but not limited to market conditions, ad inventory availability, regulations of ad networks, search engines, syndication partners, and other members that form the digital ecosystem. GeekRider is not responsible for changes in regulations and terms of service of ad networks, search engines, platform providers, SaaS providers, as well as for guidelines changes in open source platform and PaaS/IaaS providers’ terms of use. You hereby indemnify, and hold harmless GeekRider and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives and attorneys and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any liability, material and monetary loss, system or technological breakdown, loss in brand equity, erosion of market share, drop in campaign performance arising out of GeekRider’s involvement in setting up, executing and consulting for your organization as a consequence of such external changes. Further, GeekRider does not take any responsibility for the effectiveness of Solutions provided/prescribed by third party providers (including but not limited to SaaS, PaaS, IaaS vendors) recommended by GeekRider. IT infrastructure capability should be assessed by you prior to accepting the service and the onus of the same lies solely with you. By accepting our SaaS or Digital Consulting solutions to avail the services of third-party solution providers, you take it upon yourself and are solely responsible for any material losses. GeekRider cannot be held responsible for site outages or performance issues when they actually have no control over the SaaS e-commerce application or its operating environment. You hereby indemnify, and hold harmless GeekRider and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives and attorneys and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any liability, material and monetary loss, system or technological breakdown, loss in brand equity, erosion of market share, drop in campaign performance arising out of GeekRider’s involvement in the aforesaid consulting services. Ad networks, social networks, search engines and other constituents of the digital ecosystem review and update their policies, which might adversely impact your ad performance, visibility, digital reach, and other digital marketing parameters not spelt out here. You hereby recognize, indemnify, and hold harmless GeekRider and all of its predecessors, successors, parents, subsidiaries, affiliates, officers, directors, shareholders, investors, employees, agents, representatives and attorneys and their respective heirs, successors and assigns (collectively, the "Indemnified Parties") from and against any liability, material and monetary loss, system or technological breakdown, loss in brand equity, erosion of market share, drop in campaign performance arising out of GeekRider’s involvement in setting up, executing and consulting for your organization as a consequence of policy changes. There may be delays, omissions or inaccuracies in information obtained through your use of this Site. The information on the site is provided to you with the understanding that GeekRider's provision of this information to you does not constitute the rendering of investment, consulting, legal, accounting, tax, career or other advice or services.
